Constitution of the Wisconsin Region
of the Model A Restorers Club, Inc.Amended April 2024
Article 1: Name, Address, Boundary, Purpose and Membership.
A. Name
The name of this Club, which is a non-profit and a non-stock 501c(7) corporation organized within the framework of the statues of the State of Wisconsin, shall be the “Wisconsin Region of the Model A Restorers Club, Inc.” chartered November 16, 1957. The Club shall be known as the “Wisconsin Region” or the “Wisconsin Region MARC.”
B. Address
The main office of the “Wisconsin Region” will be that of the registered agent, the current Secretary/Treasurer of the Club.
C. Boundary
The geographical boundaries of the “Wisconsin Region” will be all of that area within the State of Wisconsin south of Highway 23 from Sheboygan to Oxford, north to Stevens Point (Hwy 51), then southwest to LaCrosse.
D. Purpose
The purpose of the Club shall be to encourage the acquisition, preservation, restoration, exhibition and use of the Model A Ford vehicle, Model Years 1928 through 1931, and all things pertaining to the Model A Ford, including literature, technical and historical information and further, through these activities, educate the public and promote fellowship and good citizenship among its members.
E. Membership
1. Membership will be open to any person of good moral character who acquiesces to the general purposes of the Club.
2. Individuals or families accepted into membership on or after November first of a given year, shall be considered as full members through the following calendar year. The Club newsletter shall be made available to all members commencing with their membership.
3. Wisconsin Region membership dues shall be set by the Club, not to exceed those of the National Organization, and paid to the Regional Treasurer. Local club dues shall be waived for the Board of Directors during their terms of office. These dues shall constitute the individual’s dues for the time period as set forth in Article 1, Section E (2), of these bylaws.
4. Membership in the National Model A Restorers Club shall be a prerequisite to membership in the Wisconsin Region.
5. Each member and spouse shall have one vote each. Membership is available to families or individuals.
Article II: National Club and Official Emblems.
A. National Club
1. Although incorporated under the laws of the State of Wisconsin, the Wisconsin Region acknowledges allegiance to its parent organization, the Model A Restorers Club, Inc
2. This Constitution intends to encompass in its entirety the Constitution of the Model A Restorers Club, Inc. In the event of conflicting Articles, it is the intention of this Constitution that the Constitution of the Model A Restorers Club, Inc will supersede and control.
B. Official Emblem
1. The Club emblem will be that of the Model A Restorers Club, Inc., to wit:
The radiator and the headlights of the Model A Ford having on its circumference the words, “Model A Restorers Club, Founded 1952.”
In addition to the emblem of the Model A Restorers Club, the Region may also display a regional emblem. Such emblem will be an outline map of the State of Wisconsin with the Wisconsin Region boundaries shown with a dotted line and the words, “Wisconsin Region” shown thereon.
Article III: Officers, Board of Directors, and Terms of Office.
A. Officers
1. A Regional President will be elected from the membership of the Wisconsin Region, whose duty it will be to preside over the meetings of the Board of Directors and to govern the region. The Regional President may fill vacancies in any of the Regional offices or committees by appointment.
2. A Regional Vice-President will be elected from the membership of the Wisconsin Region. The Vice-President shall assume the duties of the President whenever the President is not available, or when the office should become vacant, until the office is filled by vote of the members. The Vice-President shall also supervise tours and other activities of the region.
3. A Regional Secretary-Treasurer will be elected from the membership of the Wisconsin Region, whose duty it will be to maintain financial records and record minutes of all official proceedings and receive and disburse regional funds.
4. A Board Member-at-Large will be elected from the membership of the Wisconsin Region, whose duties will be determined by the Board of Directors.
B. Board of Directors
1. There shall be a Board of Directors whose duty it shall be to promulgate rules, regulations and by-laws for the region and whose membership shall include the Regional President, Regional Vice-President, the Regional Secretary-Treasurer, the immediate past Regional President and the Board Member-at-Large. Each member of the Board shall have one vote at the Board meetings.
2. The Wisconsin Region shall operate on a fiscal year identical to that of the calendar year.
3. Disbursements in excess of $50 will require approval of 3/5ths of the Board of Directors.
C. Terms of Office
1. The term of the President and Secretary-Treasurer shall be elected for 2-year terms, starting in the even years.
2. The Vice-President and Board Member-at-Large shall be elected for 2-year terms, starting in the odd years.
3. The Past President shall be a Board Member following completion of their term.
Article IV: Committees.
A. Committees may be appointed by the Regional Board to serve in various capacities such as, but not limited to, membership, publicity, technical, publication and nominations.
Article V: Insurance.
A. All members must be insured individually. The Club is not responsible for acts of members or member’s vehicles and action cannot be brought against the Club for any member’s negligent or careless acts for any reason.
Article VI: Amendments.
A. In order to amend the Constitution of the Wisconsin Region, there must be one of the following:
1. A vote of 3/5ths of the members of the Board of Directors;
2. A vote of 2/3rds of the members of the Club.
Article VII: Guidelines.
A. The Board of Directors shall establish Guidelines which will clarify the Club’s general operating procedures. These guidelines will be reviewed periodically and updated as needed.
Article VIII: Constitution is By Laws.
A. This Constitution is understood to be the governing rules and regulations and bylaws of this organization, and any statements herein contained inconsistent with the State of Wisconsin of the United States of America will be interpreted to be null and void.
Article IX: Dissolution Clause.
A. Upon a vote for dissolution of the Wisconsin Region MARC, a 501c (7) financial corporation, any residual financial assets must be distributed to a Model A organization by a vote of the members.
